Terms of Service

These Terms & Conditions (“Terms”) govern your access to and use of the websites, platforms, dashboards, mobile and web applications, IoT devices, gateways, software, and related services (collectively, the “Services”) provided by Zeptac Technologies (“Zeptac”, “we”, “us”, or “our”).By accessing our website, creating an account, purchasing a subscription, deploying our hardware, or otherwise using any part of the Services, you (“you”, “your”, “Customer”, or “User”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation.

If you do not agree to these Terms, you must not access or use the Services.

1. Definitions

  • “Platform” means Zeptac’s cloud-hosted and edge software, including the  monitoring platform, dashboards, analytics, and any associated SaaS applications.

  • “Devices” or “Hardware” means the sensors, gateways, controllers, data loggers, and other physical equipment supplied or recommended by Zeptac.

  • “Customer Data” means data, telemetry, machine readings, configurations, and other information generated by or transmitted from your equipment, devices, or users through the Services.

  • “Subscription” means the plan, term, and feature tier you have agreed to in an order form, quotation, invoice, or online checkout.

  • “Account” means the credentialed access provided to you and your authorised users.

2. Eligibility and Account Registration

2.1  You must be at least 18 years of age and capable of forming a legally binding contract to use the Services.

2.2  You agree to provide accurate, current, and complete information during registration and to keep it updated.

2.3  You are responsible for safeguarding your account credentials and for all activity that occurs under your Account, and must notify us immediately of any unauthorized use or security breach.

2.4  You are responsible for ensuring that your authorized users comply with these Terms.

3. Scope of Services

3.1  Zeptac provides industrial IoT and SaaS solutions, which may include cloud and edge software, real-time monitoring dashboards, analytics, predictive maintenance features, alerts, and the supply or integration of compatible hardware.

3.2  The specific features, limits, and entitlements available to you depend on your Subscription tier and the order form or quotation agreed between the parties.

3.3 We may add, modify, or discontinue features from time to time. Where a change materially reduces core functionality of a paid Subscription, we will use reasonable efforts to notify you in advance.

3.4 Certain Services connect to your existing equipment using industrial protocols (such as IO-Link, Modbus, or OPC-UA). You are responsible for ensuring your equipment is compatible, properly maintained, and that you have the right to connect it.

4. Subscriptions, Fees, and Payment

4.1. Fees for the Services are set out in your order form, quotation, invoice, or at online checkout, and are exclusive of applicable taxes unless stated otherwise. GST and other applicable taxes will be charged at prevailing rates.

4.2 Unless otherwise agreed, subscription fees are payable in advance for the agreed billing cycle (e.g. monthly or annual).

4.3 Hardware, installation, commissioning, and professional services may be billed separately as set out in the relevant quotation.

4.4 Late payments may result in suspension of the Services and may attract interest at the rate permitted under applicable law.

4.5 Except as required by law or expressly stated in these Terms, fees are non-refundable. Downgrading or cancelling a plan does not entitle you to a refund for the current billing period.

4.6 We may revise our pricing. Price changes for renewals will be communicated before the start of the relevant renewal term.

5. Hardware and Devices

5.1  Where Zeptac supplies Devices, title and risk pass to you as specified in the applicable invoice or order form. Where Devices are leased or provided as part of a managed service, ownership remains with Zeptac.

5.2 Devices must be installed, powered, networked, and operated in accordance with our documentation and any applicable safety and electrical regulations. Improper installation, tampering, or use outside specified conditions may void warranties.

5.3 Hardware warranties (if any) are limited to those stated in the accompanying documentation or order form. Zeptac is not liable for failures arising from misuse, unauthorised modification, power surges, environmental conditions beyond rated limits, or third-party equipment.

5.4 You are responsible for the physical security and lawful operation of Devices deployed at your premises.

6. Customer Data and Data Ownership

6.1  You retain all ownership rights in your Customer Data. Zeptac does not claim ownership of the machine data, telemetry, or operational information you generate through the Services.

6.2  You grant Zeptac a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and analyze Customer Data solely as necessary to provide, maintain, secure, and improve the Services and to comply with law.

6.3  Zeptac may collect, use, and retain aggregated and de-identified data (which does not identify you or any individual) for product improvement, benchmarking, analytics, and research. Such aggregated data does not constitute Customer Data.

6.4 You represent that you have all necessary rights and permissions to provide Customer Data to us and to authorise the processing described in these Terms.

6.5 Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

7. Intellectual Property

7.1 The Platform, software, documentation, dashboards, designs, trademarks, and all related intellectual property are and remain the exclusive property of Zeptac and its licensors.

7.2 Subject to these Terms and payment of applicable fees, Zeptac grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during your Subscription term.

7.3 You must not copy, modify, reverse engineer, decompile, resell, sublicense, or create derivative works from the Services, except to the extent expressly permitted by law.

7.4 Any feedback or suggestions you provide may be used by Zeptac without restriction or obligation to you.

8. Acceptable Use

You agree not to:

  • use the Services for any unlawful, fraudulent, or harmful purpose;
  • interfere with or disrupt the integrity, security, or performance of the Services;
  • attempt to gain unauthorised access to any systems, accounts, or data;
  • introduce malware or any malicious code;
  • exceed or circumvent usage limits, rate limits, or access controls;
  • use the Services to build a competing product or to benchmark for a competitor; or
  • misrepresent your identity or affiliation.

We reserve the right to investigate and take appropriate action, including suspension or termination, for any violation.

9. Service Availability, Maintenance, and Support

9.1 We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation unless a separate Service Level Agreement (SLA) is in place.

9.2 We may perform scheduled maintenance, and will use reasonable efforts to give advance notice for maintenance likely to cause significant disruption. Emergency maintenance may be carried out without prior notice.

9.3 Support scope, response times, and channels are governed by your Subscription tier or any separate support agreement.

10. Third-Party Services and Integrations

10.1 The Services may interoperate with third-party software, hardware, networks, or services (including your existing industrial equipment and connectivity providers).

10.2 Zeptac is not responsible for the availability, accuracy, or performance of third-party products or services, or for any data loss or downtime caused by them.

10.3 Your use of third-party services is governed by the terms of those third parties.

11. Confidentiality

11.1  Each party may receive confidential information from the other. The receiving party agrees to protect such information with reasonable care and to use it only to perform its obligations under these Terms.

11.2  Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

12. Warranties and Disclaimers

12.1 Except as expressly stated in these Terms or an applicable agreement, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 Zeptac does not warrant that the Services will meet all your requirements, that analytics, alerts, or predictions will be accurate or complete, or that all defects will be corrected.

12.3 You acknowledge that decisions based on data, alerts, or insights provided by the Services remain your responsibility, and that the Services are a decision-support tool, not a substitute for qualified human judgement or mandatory safety systems.

13. Limitation of Liability

13.1 To the maximum extent permitted by law, Zeptac shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, production, or goodwill, arising out of or related to the Services.

13.2 To the maximum extent permitted by law, Zeptac’s total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by you to Zeptac for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

13.3 Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Zeptac, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your Customer Data, your breach of these Terms, or your violation of any law or third-party rights.

15. Suspension and Termination

15.1 You may terminate your Subscription in accordance with your order form or by giving notice as specified therein. Termination does not entitle you to a refund of pre-paid fees except where required by law.

15.2 We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees when due, or if your use poses a security, legal, or operational risk.

15.3 Upon termination, your right to use the Services ceases immediately. We will make Customer Data available for export for a limited period as described in Section 16, after which it may be deleted.

15.4 Provisions that by their nature should survive termination (including intellectual property, confidentiality, limitation of liability, and indemnification) shall survive.

16. Data Retention and Deletion

16.1 During an active Subscription, Customer Data is retained in accordance with your plan and configuration.

16.2 Following termination, we will retain Customer Data for a reasonable period (for example, [30] days) to allow export, after which we may permanently delete it, subject to any legal retention obligations.

16.3 You are responsible for maintaining your own backups where required for your operational or compliance needs.

17. Force Majeure

Zeptac shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, power or internet failures, government action, labour disputes, pandemics, or failures of telecommunication or third-party providers.

18. Changes to These Terms

18.1 We may update these Terms from time to time. The “Last updated” date indicates when the latest changes took effect.

18.2 Material changes will be communicated by reasonable means (such as email or a notice on the Platform). Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

19. Governing Law and Jurisdiction

19.1 These Terms shall be governed by and construed in accordance with the laws of India.

19.2 The courts at Thane (Kalyan), Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any agreed arbitration mechanism.

19.3 The parties will attempt to resolve disputes amicably before initiating formal proceedings.

20. General

20.1 Entire Agreement. These Terms, together with any order form, quotation, SLA, and the Privacy Policy, constitute the entire agreement between the parties.

20.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.

20.3 Assignment. You may not assign these Terms without our prior written consent. Zeptac may assign its rights and obligations as part of a merger, acquisition, or sale of assets.

20.4 No Waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
